Grietens Data Terms v1.1
1. Definitions
Device — a Grietens connected monitoring unit installed at the Customer's site.
Raw Telemetry — measurements the Device produces, plus pre-processing limited to format standardisation and sensor-error correction. This is "readily available data" under the Data Act.
Connected Data — everything the Customer connects to Grietens: Raw Telemetry, files the Customer uploads, and records read from the Customer's own business systems (for example spreadsheets, ERP, CRM, SCADA), with the way Grietens has organised them for the Customer.
Derived Data — everything produced by Grietens' additional investment in the Raw Telemetry: models, predictions, classifications, state inference, sensor fusion, anomaly scores, thresholds and benchmark distributions. Derived data is outside the Data Act's access and sharing obligations.
Aggregated Insights — statistical outputs computed across multiple customers, containing no data attributable to any identifiable site.
Customer — the enterprise using Grietens and operating the Device. The "user" under the Data Act.
Benchmark Pool — the anonymised, aggregated figures from Customers who have chosen to take part in benchmarks under §7.
2. The Customer's rights over its data
Grietens grants the Customer, at no charge, for as long as the Device operates and for 12 months after termination:
- Access to all Raw Telemetry and other Connected Data concerning its own business, continuously and in real time, in a structured, commonly used, machine-readable format.
- Third-party sharing. On the Customer's instruction, Grietens will make that Raw Telemetry and Connected Data available to any third party the Customer names, without undue delay, free of charge to the Customer, on the same quality terms.
- Export on exit. A complete historical export in an open format, on request, at any time, including after termination. No exit fee. No retention of the Customer's copy as leverage.
- No lock-in. Grietens will not condition continued service, support or data access on the Customer refraining from using its own data, from sharing it, or from engaging another supplier.
3. What Grietens will never do
- Never sell, licence or transfer Raw Telemetry or any other Connected Data to any third party for that party's own commercial purposes.
- Never publish or disclose data attributable to an identifiable site.
- Never attempt to re-identify a site, machine or person from Aggregated Insights, nor permit a recipient to do so.
- Never use a Customer's data to derive insights about the Customer's own commercial position in a way that undermines it, or to assist a named competitor of the Customer in doing so.
- Never release an Aggregated Insight computed from fewer than five (5) distinct Customers, or where any single Customer contributes more than 40% of the underlying observations.
4. Trade secrets — both directions
The Customer's process parameters, recipes, throughput figures, machine configurations, orders, customers, products and prices are the Customer's trade secrets. Grietens treats them as confidential and discloses them to no one.
Grietens' models, benchmark distributions, feature definitions, thresholds and Derived Data are Grietens' trade secrets. They are protected under the Data Act's trade-secret safeguards and are not within the scope of data the Customer may require Grietens to disclose or transfer.
8. Personal data
Devices are configured to capture machine data, not people data.
Records from the Customer's business systems can contain personal data, such as the name of a contact person at one of the Customer's own customers. Grietens processes such data only to provide the service to the Customer, never uses it in the Benchmark Pool or any Aggregated Insight, and does not build profiles of individual workers (see §9).
Where telemetry could identify an individual — operator identifiers, badge scans, shift patterns at a site small enough to single someone out — those fields are pseudonymised at the Device before transmission and are never stored in identifiable form by Grietens.
Where any personal data is nonetheless processed, the Customer is controller, Grietens is processor, and a separate Data Processing Agreement under GDPR Art. 28 applies. The Data Act does not override the GDPR.
9. Scope of the system — observability only
The Grietens system is read-only observability. It measures machine state and process conditions. It does not control machinery, does not make or automate decisions, and is not designed, sold or supported for:
- evaluating, ranking, scoring or monitoring the performance of workers
- decisions about recruitment, promotion, task allocation or termination
- emotion recognition or any inference about individuals
The Customer agrees not to use the system for those purposes. Grietens may suspend service on evidence of such use.
10. Term, termination and changes
- Either party may terminate on 30 days' written notice. No lock-in period.
- On termination the Customer's export rights under §2 continue for 12 months.
- Grietens may change these terms only with 30 days' notice and only for a valid reason stated in the notice. Material changes give the Customer the right to terminate without penalty within that period.
- Prices are fixed for the current term and may not be changed unilaterally mid-term.
11. Liability
Grietens provides monitoring and information. The Customer remains responsible for the operation, maintenance and safety of its own equipment. Nothing in these terms limits liability for death, personal injury, gross negligence, wilful misconduct, or anything else that cannot lawfully be limited.
12. Law and forum
Latvian law. Courts of Latvia. Nothing in these terms limits the Customer's mandatory rights under the Data Act, the GDPR or other applicable EU law; any term conflicting with those rights is severable and the remainder stands.
5. Licence grant — DATA LICENCE ANNEX
The Customer grants Grietens a non-exclusive, worldwide, royalty-free licence to use its Connected Data:
(a) During the term — to operate and support the service, and to create Derived Data for the Customer. Connected Data enters Aggregated Insights and the Benchmark Pool only if the Customer has chosen to take part under §7.
(b) After termination — the licence to Connected Data ends. Grietens will delete or irreversibly anonymise the Customer's Connected Data within 90 days of a written request following termination.
(c) Surviving, perpetual and irrevocable — the licence to retain and continue using Derived Data and Aggregated Insights already created, and any model already trained, in each case in a form that is not attributable to the Customer.
The Customer may terminate this licence for future data at any time by terminating the service. Nothing here restricts the Customer's own use of its own data, in any way, ever.
6. Ownership of Derived Data
Grietens exclusively owns all Derived Data and Aggregated Insights, including all intellectual property in the models, features and benchmarks.
For the duration of the service, the Customer receives a non-exclusive licence to use Derived Data relating to its own sites for its internal business purposes, including sharing it with its own advisers, auditors and insurers.
7. Benchmarks — the Customer's choice
Participation is the Customer's explicit choice. It is made when the Customer accepts these terms, nothing is chosen in advance, and the Customer may change it at any time in Settings. A change applies to contributions from that moment on.
What a participating Customer contributes: only anonymised, aggregated figures about standard measures — for example machine class, process type, energy and output per unit, quoted against actual hours, and the Customer's sector and size band (never its exact revenue or headcount).
What is never contributed: the Customer's name, sites, its own customers, products, order details, prices, files, raw records or anything that identifies a person.
How figures are published: a benchmark figure is only shown when at least five (5) distinct Customers contribute to it and no single Customer contributes more than 40% (§3), and values are shown in bands or ranges rather than one Customer's exact number.
What participation gives: comparative benchmarks — how the Customer's figures compare with similar businesses. They exist only because participating Customers contribute, so they are available to participating Customers only.
Not taking part, or stopping, has no other consequence: monitoring, alerting, questions to Eve, dashboards, export, support and pricing are unaffected. Figures already published before a Customer stops are not attributable to it and remain.
